BEST DIVE STORY CONTEST RULES, TERMS AND CONDITIONS

GENERAL DESCRIPTION
Nature’s Wing Fin Design, LLC and www.Split-Fins.com seek submission by visitors to www.Split-Fins.com of descriptions and photographs of their dive experience for use for possible promotional purposes and/or other purposes.

There will be one prize for the “best dive story” and photo. All stories submitted to www.split-fins.com will become property of Nature’s Wing Fin Design, LLC. One story will be selected per month and the contest will commence November 7, 2006 and will continue on a month-to-month basis until such time Nature’s Wing Fin Design, LLC decides to end the contest. Winners will be contacted via email and/or by regular mail.

I. PROCEDURES

1. Persons wishing to enter should submit as many different stories as they wish to www.Split-Fins.com/contest.html. Stories will be reviewed on an ongoing basis. See section VIII for information on deadlines

2. Entrants are required to fill out all fields on the www.split-fins.com contest page.

3. NWFD reserves the right to discard all materials that are not deemed to be acceptable for the contest. Producer is not responsible for lost, damaged or misdirected materials under any circumstances. Please keep a copy of your submission.

4. NWFD may request a copy of the original submitted story to ensure it is eligible for inclusion in the contest.

5. NWFD reserves the right to edit and/or alter any submission has the ability to use sections from the submitted materials for quotes.

6. Submitted “best dive stories” must be exclusive to Nature’s Wing Fin Design, LLC and www.Split-Fins.com

7. Decisions of the judges as to all contest matters are final. All submissions are subject to the terms of these rules and all entrants agree to be bound by these rules and the decisions of the judges. NWFD, LLC reserves the right to amend these rules at any time.

II. ELIGIBILITY

1. Employees of Nature’s Wing Fin Design, LLC, their parent, subsidiary, and affiliated companies, licensees and anyone involved in the production, administration or judging of the contest, as well as immediate family/same household members of anyone so employed or engaged are not eligible for prize awards.

2. Persons under 18 may enter contest but parental consent will be required before their entries will be considered. If less than 18 years of age, then “best dive stories” should be sent by regular mail with parental consent.

3. Entrants whose stories are chosen must sign a Release and Indemnity in the form presented attesting, among other things, to the fact that they are the rightful owners of the submitted “best dive stories” and that the names in the “best dive story” have been changed to protect the mentioned individuals. All persons must sign consent forms before the submission can be eligible for prize awards. Parent or guardian must sign the consent/release form for minors. Failure to provide requested releases and/or consents will result in disqualification of entrant. NWFD, LLC. will provide these release and/or consent forms. Notwithstanding the foregoing, the submission of a “best dive story” constitutes the submitter's permission to use the “best dive story” in and in connection with the program and all exploitations thereof, including, without limitation, advertising and promotion and, further, constitutes the submitter's representation that all necessary consents and permissions therefore have been obtained.

4. Each submission must be solely the original work of entrant.

5. Each entrant represents that his/her submission does not infringe on any third party's copyrighted material, trademark or other intellectual property rights.

6. By submitting your story each entrant agrees to release, discharge, and hold harmless Nature’s Wing Fin Design, LLC., www.Split-Fins.com their respective parent, subsidiary and affiliated companies, licensees, and assigns, and their respective officers, directors, employees, agents and representatives from any claim or liability arising from or related to submission of the entry, participation in this contest, and/or acceptance or use of any prize.

7. Each entrant agrees that his/her submission shall be governed by and construed under and in accordance with the laws of the State of California applicable to contracts entered into and wholly performed therein. Each entrant consents and agrees to the exclusive jurisdiction of the federal and state courts of the State of California, located in the County of Los Angeles.

III. JUDGING CRITERIA

1. “Best dive stories” will be judged for basis of their uniqueness and how split-fins added value to their diving experience.

2. NWFD, LLC. will select stories for inclusion in the contest as follows:

A. Each “best dive story” will be assigned a number and logged into a database.

B. All “best dive stories” will be read and rated on a scale of 1 to 10. Any story receiving lower than a 5 will be rejected for use in the contest.

C. NWFD, LLC representatives will read stories rated 5 and above for eligibility in the contest.

IV. VOTING AND PRIZES

1. NWFD, LLC reserve the right to use alternate judging and/or voting procedures, as determined by NWFD, LLC for this contest.

2. If the contest is cancelled for any reason, NWFD reserves the right not to award a prize.

3. The criteria for selecting the main prize will be the author ability to convey how the split-fins created a more enjoyable diving experience and stories will be also judged on drama, humor and/or uniqueness.

4. In the event of a tie, the vote will be taken again, between the tying entries, until the tie is broken.

5. NWFD, LLC reserves the right to change the voting procedures on this contest.

V. PRIZES

1. For the main contest, the prizes shall consist of one (1) pair of Split-Fins™ or equivalent product produced under licensed Nature’s Wing technology. Nature’s Wing will make every attempt to provide the contest winner of a pair of fins in the size they require but can make no guarantees or assurances that the winner’s requested size will be available.

2. Winners will be notified by email and/or regular mail.

3. “Best dive stories” included in this contest will not be eligible for any other contest by www.Split-Fins.com

4. Prizes will be awarded to the person(s) submitting the “best dive story”, provided they certify and establish to NWFD’s satisfaction that they are the owner(s) of the story and further provided that they have complied with the official rules and sign all necessary forms as determined by NWFD.

5. Winners are solely responsible for all federal, state and local taxes.

VI. CONTEST DEADLINES

1. The contest deadline for the “best dive story” are yet to be determined, but will be announced on the official www.Split-Fins.com web site, all stories must be received by NWFD on or before the deadline dates to be eligible for the contest.

At NWFD's sole option, any submitted “best dive story” may be retained and considered for use and reuse in any subsequent materials, or any other program or ancillary use in any media.

VII. RELEASES

1. All entrants must sign all consent forms; general releases and other authorizations in the form provided by NWFD, LLC or be removed from consideration. Releases will include, among other things, a statement that the “best dive stories” are true and factual to the best knowledge of the entrant(s) and that the events purported to contained in the “best dive story” have not be fabricated to enhance the possibility of winning the main prize.

2. Entrant agrees to change the first and last names of the person/s in the “best dive stories” and ensures any nicknames or possible references to actual individuals have been changed as well. Parent or guardian must sign the consent/release form for minors.
